This information is intended for all issuers interested in registering dematerialised securities in the Central Securities Depository (CSD Prague), including issuers who are in the process of converting their securities to dematerialised securities. In the conversion process, the general meeting shall make a decision, which must be published in the Commercial Bulletin and on the website of the company; deadlines shall be set for certified shares to be submitted to the issuer by their owners; shareholders shall open asset accounts in the central register of dematerialised securities through participants of CSD Prague, and an agreement shall be made with CSD Prague. The conversion process is governed by Section 529 et seq. of Act No. 89/2012 Coll., the Civil Code.

The issuer shall start negotiations with CSD Prague based on the notarised report in which the general meeting approved the conversion or on the entry of this report in the Commercial Register.

Four main steps leading to the registration of a dematerialised issue in CSD Prague:

  1. LEI Assignment
  2. Completing of the AMLZ form
  3. Allocation of ISIN – a code that identifies dematerialised securities
  4. Signing an Issue Records Agreement and a Supplement on the Registration of a New Issue
  5. Registration in ISB (information system of CSD Prague)
    • The issuer gains access to the ISB system by completing the form Application for ISB Registration (in Czech only), profile: Issuer
    • Before completing the Application for ISB Registration, it is necessary to apply for a commercial certificate (not a certificate to be signed electronically) from one of the following certification authorities: I.CA, Česká pošta-PostSignum, e-Identity
    • When completing the Application for ISB Registration, the issuer shall tick the field "set the right of initial subscription" and indicate the serial number of their commercial certificate
    • Afterwards, the issuer shall be e-mailed a detailed manual for performing the electronic entry in the accounts of owners
  6. Entries in the accounts of owners shall be submitted by the issuer electronically through ISB. In the event of a single-account subscription, the entry may be performed based on paper orders. To submit the order for the entry (issue) of dematerialised securities, the numbers of asset accounts held by the owners (of shares) must be known. Asset accounts shall be created by a participant of CSD Prague.

Details to be shared by the participant of CSD Prague with the shareholder with respect to the entry of dematerialised securities:

  • Number of the asset account to which the dematerialised securities are to be credited based on the issuer’s order
  • Registration number of participant in CSD Prague
  • Shareholder’s birth number
  • Customer account number and Participant’s Identifier in CSD Prague if the shareholder’s account was opened by the participant of CSD Prague in follow-up records to the central register of CSD Prague

Issuer’s fees:

  • One-time fee for the allocation of ISIN CZK 1,500
  • One-time fee for the entry of issue: CZK 5,800
  • The issue records fee can be calculated in the fee calculator (it is necessary to specify the total nominal value of the issue and the number of accounts in which the issue will be kept)
